All handover data to be given by the client to the contractor as well as support within the initial 3 month period.

All package prices are shared as per client’s number of transactions shared at the time of sale. In the event that there is a significant increase or the number of transactions is wrong, the pricing will change as per the applicable bracket.

Any out-of-locations courier, travel, and accommodation expenses incurred by Contractor in Contractor’s performance of the Services will be billable to the client on actuals in each consecutive invoice.

In the event of any ad account suspension, we regret to inform you that the contractor cannot be held responsible for such a situation. As a result, the client will still be responsible for any outstanding bills, regardless of the suspension.

The Contractor will not be responsible for closure of the leads generated through the above mentioned activities. However, the Client agrees to periodically share an update on the relevancy of leads and any call recordings so that the Contractor can optimize the above mentioned activities

The Contractor will not bear responsibility for any legal action taken by any Advertising Platform for promotion of products that violate guidelines

The client agrees to add the relevant amounts to all the advertising platforms 10 days prior to the expiry of the budgets. Any delay in above payments will result in a stoppage of advertisements running on these platforms. The contractor will not be held accountable for the same.

The Client agrees to bring in place a CRM to track all Leads and give Contractor access to analyza data and run reports

In the event that the Client is selling products online they agree to move to Shopify/Magento as a platform for better tracking and detailed metrics which can be provided by the Contractor

The Client agrees that there would be one point of contact set as the designated "approver" for all strategies, ad copies and creatives to ensure smooth communication. The Contractor will ensure all approvals required will be communicated to the designated point of contact and post final approval the same will be taken live.

The Contractor will allocate a minimum budget of Rs. 30,000 per campaign if the advertisement spend is below Rs. 20,00,000 and a minimum budget of Rs. 60,000 per campaign if the advertisement spend is above Rs. 20,00,000

The Client agrees to give a one month notice incase the advertisement spend has to increase to allow the Contractor adequate time to set up relevant campaigns and creatives

The client agrees to communicate proactively and adhere to suggestions and recommendations shared by the contractor with regards to fulfilling their duties about the website, landing pages, ad copies or the campaigns set. And always agrees to share information limited to and relevant for the contractor to perform its duties in any case or situation the same is not followed by the client the contractor will not be held responsible for non-performance or achievement of given targets or held liable for the same.

Disclaimer

All ideation for the given month cannot be changed once approved by the client, any changes on the same once approved will be billed additionally to the client.

The Contractor will not bear responsibility for any legal action taken by any platform for promotion of products that violate guidelines.

The Contractor will provide 2 rounds of review and revision for any creative shared, and additional round of review will be charged additionally.

Any deliverable once approved cannot be changed prior to posting.

The Contractor will only provide creatives in the formats of the channels that are to be worked on by the Contractor. Any additional formats required for other channels excluded in the Contract or for activities that are not to be managed by the Contractor will be charged additionally

The Client agrees that there would be one point of contact set as the designated "approver" for all strategies, ad copies and creatives to ensure smooth communication. The Contractor will ensure all approvals required will be communicated to the designated point of contact and post final approval the same will be taken live.

In the event of any delay in approvals by the client the client agrees that no invoice of the contractor will be put on hold and cleared as per Section 4 (Billing cycle)

The Contractor will count any deliverable void in the event that approvals are delayed post the delivery cycle mentioned in Section B. The same will be billable to the client.

The Client agrees to follow all the Contractor’s set processes so as to ensure a seamless service is provided.

Any out-of-locations courier, travel, and accommodation expenses incurred by Contractor in Contractor’s performance of the Services will be billable to the client on actuals in each consecutive invoice.

Disclaimer

Client has to pay for the WhatsApp tool cost as per actuals and it will not be included in the retainer paid to the contractor

Client has to pay for the Whatsapp Credit cost as per campaign requirement and it will not be included in the retainer paid to the contractor

Contractor will not be responsible if the Whatsapp business manager gets banned or restricted

Contractor will not be responsible for any loss of data

Contractor will not be responsible to retrive any restricted Whatsapp account

Contractor will not be responsible for any green tick verification of the WhatsApp account

Contrator will not be responsible for controlling the rate of failed contact in any broadcast campaign

Contractor will not be take any Responsibilty for controlling the Spam rate.

Client has to provide data for WhatsApp Broadcast campaigns in the format suggested by the contractor

Client has to provide API and integration keys to Shopify, Woocommerce and Razorpay X for the integration

All IP(Intellectual Property Rights) such as login ID, Password and tool acess remains with contractor after the termination the contract

All data validity to be vetted by the Client. The Contractor will not be responsible for any wrong number or incorrect data provided

The Client agrees to allocate an operator that will deal with all further responses on the platform
